Executive Summary

We are a Copper Smelting and Refinery project with proximity to concentrates supply from mines in Botswana, South Africa, Zambia, DRC etc Empowerment policies do support viability in that beneficiation is mandatory for copper concentrates, hence the strategic location and policy supported business case. Copper is critical for renewable energy value chain and components manufacturing. Industry support infrastructure are in place to facilitate fluid operations and investor confidence ratings of our country are quite high based on political, business environment etc ratings. We would like to raise USD670 million for the Copper Smelting and Refinery Project, with USD585m allocated to the Smelter and USD85m to the Refinery. We would prefer Project Finance or any other finance structure that can work in terms of project operational fluidity, risk profile, capital cost. Daniel Mahupela – Pr. Eng Daniel Mahupela is a Professional Mining Engineer with over 40 years of senior executive, operational, and governance experience across the Southern African mining and metallurgical sector, supported by significant international exposure. He has held leadership roles in some of the region’s most complex mining and smelting operations, including Managing Director of BCL Mining and Smelting, senior executive positions at Debswana Diamond Company, and operational engineering roles at Palabora Mining Company. During his tenure at BCL, Mr. Mahupela led the operation of one of the lowest-cost nickel smelters globally, successfully renegotiated major supplier contracts delivering annual savings of approximately US$23 million, extended mine life through resource and cost optimisation, and materially improved safety performance. His experience spans the full mining and metals value chain, including ore extraction, processing, smelting operations, capital planning, and large multidisciplinary teams. Mr. Mahupela brings strong government and regulatory interface experience, having served as an Inspector of Mines in Botswana, South Africa, and Canada. He also has extensive board and corporate governance experience, including serving as Chairman of a parastatal board, membership of statutory governance committees, and formal training under King III and King IV corporate governance frameworks. He holds a BSc in Mining Engineering from Queen’s University (Canada) and multiple executive development qualifications. His depth of technical, operational, and governance expertise provides investors with confidence in the strategic oversight, operational discipline, and stakeholder engagement capability. The project is still at feasibility stage, but the government policy, infrastructure and the concentrates supply are all in place for a successful project. The market is performing quite well for the smelter and refinery segments globally. There is an up surge in demand for copper for Electric Vehicles, Electronic components, Electrification, Renewable Energy and many other applications on the industrial and consumer fronts. In the Southern Africa region there are a low number of smelters let alone refineries to meet the concentrates output that is being mined and regional governments policies are skewing towards enforcing copper beneficiation to avoid copper leaving the regional bloc borders as concentrates provided there is illustrated smelting or refining entities to take it up. In Botswana the government already has such policies enforced, once a smelter/refinery is in place it will get all concentrate allocations to fulfill its capacity before the excess volumes are allowed to go offshore to other smelters internationally.
